BriefSync Terms and Conditions
Effective date: November 1st, 2026
Last updated: November 6th, 2026
These Terms and Conditions (the "Terms") form a binding agreement between Okzou Inc. ("Okzou", "we", "us" or "our"), a company incorporated in Quebec, Canada, and the operator of the BriefSync service, and the organization that accepts these Terms ("Customer" or "you").
By creating an account, starting a free trial, purchasing a plan or otherwise using BriefSync, you agree to these Terms. If you accept these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use BriefSync.
1. Definitions
"BriefSync" or the "Service" means the BriefSync web application available at app.briefsync.ca, and any related websites, features, integrations, APIs and documentation provided by Okzou.
"Workspace" means the team account your organization creates in BriefSync.
"User" means any individual you allow to access your Workspace, such as your employees and contractors.
"Customer Content" means the data and content that you or your Users submit to the Service, including templates, email briefs, content blocks, variables, images and data retrieved from your connected third-party platforms.
"Self-Serve Plan" means a subscription plan purchased online through the checkout on the Service.
"Custom Plan" means a plan whose pricing and terms are agreed directly with Okzou, as described in an order form, quote or other written agreement (an "Order Form").
2. Eligibility
BriefSync is intended for business use only. You must be at least 18 years old and use the Service on behalf of a business, organization or professional activity. The Service is not offered to consumers for personal, family or household purposes.
3. Accounts and security
You must provide accurate account information and keep it up to date. You are responsible for all activity in your Workspace, for your Users' compliance with these Terms, and for keeping login credentials confidential. Notify us promptly at info@okzou.ca of any unauthorized use of your account.
4. The Service
BriefSync helps marketing teams build, manage and review email templates and email briefs, and sync them with third-party email marketing platforms. We may improve, modify or discontinue features from time to time. If we remove a material feature from a paid plan during your subscription term, we will make reasonable efforts to notify you in advance.
4.1 Third-party integrations
The Service can connect to third-party platforms that you choose to authorize, such as Salesforce Marketing Cloud and Mailchimp. Your use of those platforms is governed by your agreements with their providers. You authorize Okzou to access and exchange data with those platforms on your behalf in order to provide the Service. Okzou is not responsible for third-party platforms, including their availability, changes to their APIs or how they process your data.
5. Free trial
New Workspaces may be eligible for a free trial (currently 14 days), and no payment method is required to start one. When the trial ends, the Workspace becomes inactive until a paid plan is purchased. We may change or end trial offers at any time, and trials may not be used to avoid paying for the Service.
6. Plans, billing and payment
6.1 Self-Serve Plans — sold through Paddle
Self-Serve Plans are sold by our reseller and Merchant of Record, Paddle.com Market Ltd ("Paddle"). When you buy a Self-Serve Plan, your purchase transaction is with Paddle, and Paddle's Buyer Terms govern the purchase. Paddle processes your payment, calculates and collects applicable sales taxes, and issues your invoices and receipts. Okzou does not receive or store your full payment card details.
6.2 Custom Plans — sold directly by Okzou
Custom Plans are sold and invoiced directly by Okzou. The fees, term, payment schedule and any special terms for a Custom Plan are set out in its Order Form. If an Order Form conflicts with these Terms, the Order Form governs for that Custom Plan. Unless the Order Form says otherwise, invoices are payable within 30 days of the invoice date, and fees exclude applicable taxes, which you are responsible for.
6.3 Renewal
Paid subscriptions renew automatically at the end of each billing cycle (monthly or yearly) for the same period, at the then-current price, unless cancelled before the renewal date. We will notify you in advance of any price increase that affects your renewal.
6.4 Upgrades, downgrades and seats
Upgrades between Self-Serve Plans, including a switch from monthly to yearly billing, take effect immediately. Paddle automatically calculates a prorated credit for the unused portion of your current billing cycle and applies it to the new charge.
Upgrades from a Self-Serve Plan to a Custom Plan take effect as agreed in the Order Form. The unused portion of your current Self-Serve billing cycle is applied as a discount on your first Custom Plan invoice.
Downgrades take effect at the start of your next billing cycle. You keep your current plan's features until then. You must reduce your usage (for example, team members, business units or templates) to within the lower plan's limits before a downgrade can take effect.
Additional seats may be purchased as an add-on to eligible plans. Seat changes are billed or take effect as described in the Service at the time of the change.
6.5 Cancellation
You can cancel a Self-Serve Plan at any time from your Workspace's billing settings. The cancellation takes effect at the end of your current billing cycle, and you keep full access to your Workspace until then. Custom Plans may be cancelled or terminated as set out in their Order Form.
6.6 Refunds
Fees are non-refundable except as described in our Refund Policy, which forms part of these Terms.
6.7 Late or failed payment
If a payment fails or an invoice is overdue, we may suspend access to paid features after giving you notice, until the amount is paid.
7. Acceptable use
You will not, and will not allow anyone to:
use the Service in violation of any law, including anti-spam, privacy and consumer protection laws;
upload content that is unlawful, infringing, defamatory, harmful or malicious, including malware;
attempt to gain unauthorized access to the Service, other accounts or our systems, or probe, scan or test their vulnerability without our written permission;
interfere with or disrupt the Service, including by overloading it or bypassing usage limits;
reverse engineer, decompile or copy the Service, except where the law expressly permits it;
resell, sublicense or provide the Service to third parties, except as permitted by a Custom Plan; or
use the Service to build a competing product.
8. Customer Content
You keep all rights to your Customer Content. You grant Okzou a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display Customer Content only as needed to provide, secure, support and improve the Service, and as instructed by you (for example, when syncing to a connected platform). You are responsible for your Customer Content and for having the rights and consents needed to use it with the Service.
Our handling of personal information is described in our Privacy Policy.
9. Okzou's intellectual property
Okzou and its licensors own the Service, including its software, design, trademarks and documentation. Subject to these Terms and payment of applicable fees, Okzou grants you a limited, non-exclusive, non-transferable right for your Users to access and use the Service for your internal business purposes during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.
10. Confidentiality
Each party will protect the other's non-public information that is marked or reasonably understood as confidential, using at least reasonable care. Each party will use that information only to perform under these Terms. This does not apply to information that is public, already known to the recipient, independently developed, or lawfully received from a third party, or to information that must be disclosed by law (with notice to the other party where allowed).
11. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure the breach within 15 days of notice, if you fail to pay fees when due, or immediately if your use poses a security risk or legal liability to Okzou or others. You may stop using the Service at any time.
When your subscription ends or your Workspace is terminated, your right to use the Service ends. For 30 days afterward, you may ask us at info@okzou.ca to export your Customer Content. After that, we may delete it, subject to our legal retention obligations and normal backup cycles.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and Okzou disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not guarantee that the Service will be uninterrupted or error-free, or that emails built with it will be delivered or will render identically on every email client.
13. Limitation of liability
To the maximum extent permitted by law:
neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
each party's total liability arising out of or relating to these Terms is limited to the fees you paid or owe for the Service in the 12 months before the event giving rise to the claim.
These limits do not apply to your payment obligations, to a party's breach of Section 7 or 10, to a party's indemnity obligations, or to liability that cannot be limited by law, such as liability for gross or intentional fault.
14. Indemnity
You will defend and indemnify Okzou against third-party claims arising from your Customer Content, your use of third-party platforms through the Service, or your breach of Section 7. Okzou will defend and indemnify you against third-party claims alleging that the Service, as provided by Okzou, infringes that party's intellectual property rights. The indemnified party must promptly notify the other of the claim, give it control of the defence, and provide reasonable cooperation.
15. Changes to these Terms
We may update these Terms from time to time. For material changes, we will notify you by email or in the Service at least 30 days before the changes take effect. If you continue to use the Service after that date, you accept the updated Terms. If you do not agree, you may cancel before the changes take effect.
16. Governing law and disputes
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. The parties submit to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec.
17. Language
These Terms are available in French and English, and the French version was made available to you before you accepted them. By accepting the English version, you confirm that it is your express wish to be bound by the English version. En acceptant la version anglaise, vous confirmez votre volonté expresse d'être lié par celle-ci. Both versions are equally valid.
18. General
You may not assign these Terms without our prior written consent, except to a successor of your business. We may assign them to an affiliate or a successor of our business. If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. These Terms, together with any Order Form, the Refund Policy and the Privacy Policy, are the entire agreement between the parties about the Service.
